End User License Agreement

This End User License Agreement (“Agreement”) is a binding contract between you (“you” or “Licensee”) and Polarline Markets (“Polarline Markets,” “we,” or “us”) governing your use of the Scout command-line software, binaries, and related services (collectively, the “Software”). By installing, activating, or using the Software, you accept this Agreement. If you do not agree, do not install or use the Software.
1. License grant
Subject to your compliance with this Agreement and payment of applicable fees, Polarline Markets grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your own internal purposes, on the number of devices permitted by your subscription tier. This is a license to use the Software, not a sale; Scout retains all ownership.
2. Reverse engineering prohibited
You may not, and may not permit any third party to, directly or indirectly: (a) decompile, disassemble, deobfuscate, decrypt, extract, or otherwise attempt to derive or reconstruct the source code, algorithms, models, or underlying structure of the Software or any compiled binary; (b) circumvent, disable, or tamper with any license verification, technical protection, or access-control mechanism; or (c) inspect, instrument, or analyze the Software for the purpose of recreating its proprietary functionality. These restrictions apply to the maximum extent permitted by applicable law.
3. No redistribution or derivative works
You may not copy, distribute, sublicense, sell, rent, lease, lend, host, or otherwise make the Software available to any third party, and you may not create derivative works based on the Software. Your license key is personal to you and may not be shared, published, or transferred.
4. Proprietary rights
The Software, including its backtesting and validation engines, strategy logic, prompts, and all related intellectual property, is owned by Polarline Markets and protected by copyright, trade-secret, and other laws. No rights are granted except those expressly stated here. Any feedback you provide may be used by Polarline Markets without restriction.
5. License verification and audit
The Software periodically verifies your license and device entitlement with Polarline Markets’ servers. You authorize this verification. We may suspend, throttle, or revoke a license that we reasonably believe is being used in violation of this Agreement, exceeds its device entitlement, or is associated with attempted circumvention or reverse engineering.
6. Termination
This Agreement and your license terminate automatically if you breach any term, and Polarline Markets may terminate or revoke your license at any time for breach. Upon termination you must cease all use of the Software and destroy all copies. Sections 2, 3, 4, 7, and 8 survive termination.
7. Disclaimer; no financial advice
The Software is provided “as is” without warranties of any kind. Scout is a research and automation tool and does not provide financial, investment, or trading advice. Backtested or simulated results are not indicative of future performance. You are solely responsible for your trading decisions and any resulting losses.
8. Limitation of liability
To the maximum extent permitted by law, Polarline Markets will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any trading losses, lost profits, or lost data, arising out of or relating to the Software or this Agreement.
9. Governing law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
